Overview

This website is operated by Labbox Inc., a corporation incorporated under the laws of the State of Delaware, United States ("LabBox", "we", "us", "our"). Our full company details are in section 26. We offer this website, including all information, tools and services available from it, to you, the user, on condition that you accept all of the terms, conditions, policies and notices set out here.

By visiting our site or purchasing something from us, you engage in our "Service" and agree to be bound by these Terms of Service ("Terms"), including the additional policies referenced in them — our Shipping & Pre-Order Policy, Refund Policy and Privacy Policy, each of which forms part of these Terms.

Please read these Terms carefully before using our site. If you do not agree to them, you may not use the site or place an order.

Our store is hosted on Shopify Inc., which provides the e-commerce platform that allows us to sell our products to you.

If you are a consumer, nothing in these Terms removes or limits any right you have under the mandatory consumer protection law of the country where you live. Where a term in these Terms conflicts with such a right, that law takes precedence and the rest of these Terms continue to apply. This matters in particular for our customers in the European Union — see sections 11, 14 and 19.

1. Who we are and what we sell

LabBox designs and sells educational games and electronics kits for children and families, manufactured in partnership with Hape. Our products are sold directly to consumers through this website and shipped from fulfilment partners in Germany and the United States.

We sell to consumers for personal and family use, and to schools and educational institutions. We are not a wholesaler, and we may decline or limit orders that appear to be for resale — see section 5.

2. Eligibility and age

Our products are designed for children, but our website is for adults.

To place an order you must be at least the age of majority where you live and have the legal capacity to enter into a contract. By ordering, you confirm that you are.

If you allow a child or other minor dependant to use this site, you do so under your supervision and you accept responsibility for their use of it, including any order they place. We do not knowingly collect personal information from children — see our Privacy Policy.

Each product carries a recommended minimum age. That recommendation is a safety requirement, not a marketing suggestion — please read section 8 before buying for a younger child.

3. Your account

You do not need an account to shop with us, but you may create one.

If you do, you are responsible for keeping your login details confidential and for everything that happens under your account. Please tell us promptly if you believe someone else has gained access to it.

You agree to give us current, complete and accurate information when you register and when you order, and to keep it up to date — including your email address, delivery address and payment details — so that we can process your order and contact you about it.

We may suspend or close an account that has been used in breach of these Terms. Closing an account does not affect any order already placed, or any amount already owed.

4. Orders and how a contract is formed

Placing an order is an offer to buy, not a completed contract.

When you place an order you will receive an email confirming that we have received it. That email is an acknowledgement, not an acceptance. The contract between us is formed only when we email you to confirm that your order has been dispatched, or — for a pre-order — when we email you to confirm we have accepted your reservation.

Until that point we may decline your order, in whole or in part, for example because an item is out of stock, because we cannot deliver to your address, because a price or product description was wrong, or because we suspect fraud or resale. If we decline an order after you have paid, we will refund you in full without delay.

5. Order limits and refused orders

We may limit or cancel quantities purchased per person, per household or per order. These limits may apply to orders placed on the same account, with the same payment card, or to the same billing or delivery address.

We may limit or refuse orders that in our reasonable judgement appear to be placed by dealers, resellers or distributors. If you are interested in stocking LabBox products, please contact us about wholesale rather than ordering through this site.

Where we change or cancel an order, we will try to reach you using the email address, phone number or billing address you gave when ordering.

6. Prices, taxes and errors

All prices are shown in the currency selected on the site and are set for that market. Prices may change at any time, but a change will never affect an order we have already accepted.

Prices for our European Union customers include VAT. Prices for our United States and Canadian customers exclude sales tax, GST or HST, which is calculated and added at checkout where we are required to collect it. Shipping is charged separately and is calculated at checkout — see our Shipping & Pre-Order Policy.

Our site and our product descriptions are prepared with care, but they may occasionally contain a typographical error, an inaccuracy or an omission — in a price, a description, a promotion, a shipping charge, a delivery estimate or availability. We reserve the right to correct any such error and, where a price or a material description was clearly wrong, to cancel an affected order even after it has been submitted. If we cancel on that basis we will tell you promptly and refund you in full, and you will be free to reorder at the corrected price. We will never charge you more than the price you agreed to without asking you first.

7. Pre-orders

Some items can be ordered before they reach our warehouse. Pre-orders are governed by our Shipping & Pre-Order Policy, which forms part of these Terms and sets out in full: that pre-orders are charged when you order, that your price is locked in at that moment, how orders are allocated, what happens when a dispatch date moves, and your right to cancel at any time before dispatch for a full refund.

In short: a pre-order reserves stock for you, you may cancel it for a full refund at any point before it ships, and if we cannot dispatch within 30 days of the date we gave you, we will contact you and you may cancel or keep waiting — your choice.

8. Product safety and age recommendations

Our products contain electronic components, small parts and, in some cases, batteries. Please take the following seriously.

  • Observe the age recommendation on the packaging. It reflects small-parts choking hazards and the reasoning ability the game requires — it is not a difficulty rating.
  • Small parts are not suitable for children under 3. Keep components away from younger siblings.
  • Adult supervision is recommended for younger players, and for any activity involving batteries.
  • Follow the instructions supplied with the product, including any warnings about batteries, polarity, charging and disposal.

Our products are safety-tested and certified for the markets we sell to, including EN 71 and EN 62115 in the European Union, ASTM F963 in the United States, and SOR/2011-17 in Canada. Certification does not remove the need for supervision and sensible use.

If you believe a product has a safety defect, please stop using it and contact us immediately so that we can investigate and, where necessary, notify the relevant authorities.

9. Delivery, returns and refunds

Delivery, shipping charges, taxes and duties are covered by our Shipping & Pre-Order Policy. Returns, refunds and cancellations are covered by our Refund Policy and by section 11 below. Both policies form part of these Terms.

10. Availability and product presentation

Some products are sold exclusively online and may be available in limited quantities.

We have made every effort to show the colours and details of our products accurately, but we cannot guarantee that your screen displays them faithfully. Component colours and minor design details may also change between production runs.

We may limit the sale of any product to any person, region or jurisdiction, may limit quantities, may change descriptions and prices, and may discontinue a product at any time. Any offer made on this site is void where prohibited.

11. Your statutory rights

All customers. Our products must match their description and be of satisfactory quality. If a product is faulty, incomplete or not as described, contact us — you are entitled to a remedy, and our Refund Policy explains how to claim one.

European Union consumers. In addition to any commercial guarantee we offer, you have a statutory two-year legal guarantee of conformity for goods that do not match the contract, and a 14-day right of withdrawal allowing you to cancel a purchase without giving a reason, running from the day you receive the goods. Full details are in our Shipping & Pre-Order Policy and Refund Policy. Nothing in these Terms limits these rights.

United States and Canadian consumers. You have the rights given to you by applicable federal, state and provincial consumer law, including any implied warranties that cannot be excluded. Our voluntary returns window is set out in our Refund Policy and is in addition to those rights.

12. Intellectual property

The LabBox name and logo, our website, our product designs, game rules, illustrations, photographs, videos, text and software are owned by us or our licensors, including Hape, and are protected by copyright, trade mark and other intellectual property laws.

You may not reproduce, duplicate, copy, sell, resell, publish, distribute or commercially exploit any part of our site, our Service or our products without our express written permission. You may of course share our content on social media using the platforms' own sharing features, and you may photograph and film your own family playing with our products and post it — that is section 13.

Nothing in these Terms transfers any intellectual property right to you. Buying a game gives you the right to play it, not to reproduce it.

13. Reviews, photos and other things you send us

We love seeing LabBox in use, and we sometimes ask customers to share photos and videos. This section explains what happens when you do.

The licence you give us. When you submit a review, comment, photograph, video, idea or any other material to us or to our social channels — whether we asked for it or not ("Submissions") — you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, edit, adapt, translate, publish and display it in our marketing and on our site and channels, with credit where practical. You keep ownership of your Submission.

What you promise us. You confirm that the Submission is yours to share; that it does not infringe anyone's copyright, trade mark, privacy or personality rights; that it is not unlawful, abusive, defamatory or obscene; that it contains no malicious code; and that you are not misrepresenting who you are.

Content that features children. If a Submission shows a child, you confirm that you are that child's parent or legal guardian, or that you have their parent or guardian's permission for us to use it as described above. We treat this seriously: you may ask us at any time to stop using a Submission that features your child, and we will remove it from anything within our control as quickly as we reasonably can.

Reviews are honest or they are nothing. We publish reviews as we receive them. We do not pay for positive reviews, we do not delete negative ones because they are negative, and where a review was written by someone who received a free or discounted product, or who has a connection to us, that will be disclosed. If you were given anything in exchange for a review, you must disclose it too.

No obligation on us. We are under no obligation to keep any Submission confidential, to pay for it, to respond to it, or to publish it. We may remove or decline any Submission at our discretion, including anything unlawful or objectionable. You are responsible for what you send us, and we accept no liability for Submissions posted by you or anyone else.

14. Marketing emails

If you subscribe to our emails, we send you product news, launches and offers. You can unsubscribe at any time using the link in any email, and we will stop. Signing up is never a condition of buying anything. How we handle your data is set out in our Privacy Policy.

15. Prohibited uses

You may not use this site or its content: for any unlawful purpose; to encourage others to act unlawfully; to breach any applicable law or regulation; to infringe our intellectual property rights or anyone else's; to harass, abuse, defame, intimidate or discriminate against anyone; to submit false or misleading information; to upload viruses or other malicious code; to collect or track other people's personal information; to spam, phish, spider, crawl or scrape; for any obscene purpose; or to interfere with or circumvent the security features of our site.

We may terminate your use of the Service for any of the above.

16. Third-party links and tools

Our site may link to third-party websites, and may give you access to third-party tools that we neither control nor monitor.

Third-party sites are not affiliated with us. We do not review or endorse their content and we are not responsible for it, nor for any transaction you enter into with them. Please read their terms and privacy policies before using them, and direct any complaint about their products to them.

Third-party tools are provided "as is" and "as available", without warranties of any kind. Using them is your choice and at your risk.

17. Availability of the site

We work to keep our site available and secure, but we do not promise that it will be uninterrupted, timely or error-free. We may suspend, withdraw or restrict all or part of it for business or operational reasons, and we will give notice where we reasonably can.

18. Disclaimers

Except as expressly stated in these Terms, and except for the statutory rights described in section 11, our site and its content are provided "as is" and "as available", without warranties or conditions of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Product information on our site is provided for general information. Historical or archived material is not current and is provided for reference only. We are not obliged to update information on our site, except as required by law.

19. Limitation of liability

Nothing in this section limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; defective products, to the extent liability cannot lawfully be excluded; a breach of your mandatory statutory consumer rights; or anything else that cannot lawfully be limited.

Subject to that, and to the fullest extent permitted by law, neither Labbox Inc. nor its directors, officers, employees, agents, contractors, suppliers, service providers or licensors will be liable for indirect, incidental, special, punitive or consequential loss, or for lost profits, lost revenue, lost savings, lost data or replacement costs, arising from your use of the Service or of any product bought through it.

Where our liability to a consumer is limited, it is limited to the amount you paid for the order concerned, or the cost of replacing the product, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain liabilities. Where that is the case, our liability is limited to the maximum extent that jurisdiction permits.

20. Indemnity

If you use our site in breach of these Terms or in breach of the law, and that causes a third party to bring a claim against us, you agree to indemnify us and our officers, directors, employees, agents, contractors and suppliers against that claim, including reasonable legal costs. This does not apply to a consumer acting in good faith and using the site normally.

21. Termination

These Terms apply for as long as you use our site. You may end them at any time by stopping using the site and telling us you no longer wish to use our Service.

If you materially breach these Terms, we may end them and withdraw your access without notice. You will remain liable for any amount owed up to that date.

Obligations and liabilities incurred before termination survive it.

22. Force majeure

We are not liable for a delay or failure caused by something beyond our reasonable control — including extreme weather, natural disaster, fire, flood, war, civil unrest, epidemic, industrial action, carrier or supplier failure, or failure of utilities or telecommunications networks. If such an event affects your order, we will contact you and you may wait for delivery or cancel for a full refund.

23. Governing law and disputes

These Terms and any contract between us are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Subject to the paragraph below, the state and federal courts located in Delaware have jurisdiction over any dispute arising from them.

If you are a consumer, this choice of law does not deprive you of the protection of the mandatory consumer law of the country where you live, and you may bring proceedings in the courts of that country. European Union consumers may also use their national out-of-court dispute resolution scheme. We would much rather resolve a problem directly — please contact us first, and we will try to put it right.

24. General

Severability. If any provision of these Terms is held unlawful or unenforceable, it will be severed and the remaining provisions will continue in force.

No waiver. If we do not enforce a right under these Terms, that is not a waiver of it.

Assignment. You may not transfer your rights under these Terms without our consent. We may transfer ours, for example if our business is sold, provided your rights are not reduced.

Entire agreement. These Terms, together with the policies referred to in them, are the entire agreement between us about your use of our site and supersede any earlier version. Headings are for convenience only. Any ambiguity will not be interpreted against either of us simply because of who drafted it.

25. Changes to these Terms

We may update these Terms by posting a revised version on this page, with a new "last updated" date. Changes apply to orders placed after they are posted — never retroactively to an order we have already accepted. Continuing to use our site after a change means you accept the revised Terms.
